That is exactly it. Even if they are the majority shareholders or own all the voting stocks (news flash, there can be seprate classes of stocks being traded, and depending on how the company does things, the stocks can have different voting rights. For example, there is a Class A and Class B stocks for Ford, the actaul Ford Family ownes all the class B stock, and the class B stock has something like 4 or 5 time as many votes as the class A stock does.)
