Since there is such a huge gulf between #1 and #2 (and TNA has neither the know-how nor the desire to bridge that divide), a #3 could very easily come in an usurp their position, especially when said #3 actually does what the #2 pays lip service to.

I agree with this. Even that won't happen overnight, though. But the gap between TNA and ROH is already smaller than that between TNA and the WWE. If ROH continues to expand, while TNA continues to spin its wheels, it's only a matter of time.
