New rumor states the big difference between the Wii U and 3DS version is for character focus.
The Wii U version would focus mostly on modern characters while the 3DS would focus more on retro characters.

The characters for Memories mentioned include Donkey Kong Jr., Ridley, Pac-Man, Takamaru, Mach Rider, Dig-Dug, and Stanley the Bug Man. The source claims that Super Smash Bros. Memories will be released holiday of next year, but gives no word on the Wii U game.

I'd assume the rumored connectivity plans would involve these "exclusive" type characters being moveable so that you'd be able to get the retro characters on the Wii U and modern on the 3DS as a bonus for owning both versions.
