Don't replace her. Replacing actors is always a bad thing in movie franchises (with the exception of Bond, because Bond doesn't follow any sort of continuity).
Just write her out of the story. They could re-introduce her African Goddess roots by having there be some kind of horrible drought in Kenya that she feels she has to go and remedy. Don't even show her, just have Logan and Kurt talk about it or something.
Don't replace the actress, but elevate someone else to her position on the team. I recommend either bringing Shawn Ashmore's Iceman to the "Main Team" (which they'll probably do anyway), or bringing in another new character like Beast (only if it's the guy that was on the TV in "X2") or Angel. Personally, I'd lean toward Angel, because
a) He'd be easier to do, cinematically
b) His rich, cultured character would give Charles another good friend to talk to and would provide a natural foil for someone like Wolverine
c) You could cast a bombshell actress to cameo as Betsy Braddock, teasing more character development in "X4" (should one ever happen)
Anyway, it's not like I've put a lot of thought into this or something...
